Real Estate & Conveyancing
The real estate and Conveyancing department seeks to provide tailored solutions to our Clients to meet their real estate needs in a timeous and cost-efficient manner. At the core of our real estate department is the desire to ensure that Client’s real estate planning is undertaken in a manner that complies with regulatory requirement to ensure indefeasible titles are transferred and acquired by the Client. Such an approach reduces the risk of litigation while ensuring the client enjoys seamless services that enable them to leverage on their real estate portfolio to grow their asset base. Through collaborative engagement with other professional service providers, we strive to provide professional legal and consultancy services through the entire continuum of real estate development from acquisition of the property, the acquisition of affordable and appropriate capital, the seeking of regulatory approvals and actualization of real estate projects locally and regionally. We give advice on various aspects of real estate transactions including: sales, leases, purchases, charges, tenancy agreements, change of user and extension of leases and commercial letting. We have a robust conveyancing practice to deal with all stages of transfer of interests in land. We guide our clients through the processes involved in real estate financing and borrowing. We provide advisory and transactional support in REITS, construction, real estate tax, real estate investment and development, real estate partnerships, fractional ownership and franchising within the hospitality industry.
Banking and Finance
We provide bespoke legal services to local and regional financial service providers in drafting and review of collateral contracts. We have practical experience in asset finance, asset management, securities disputes, financial services regulation, general lending, leveraged finance, syndicated lending, Islamic banking, sovereign loans, insolvency and restructuring, loan restructurings and securitizations. We also have expertise in providing general regulatory advice to local and international banks and financial institutions. We also conduct external trainings on emerging issues affecting the financial services sector.
Corporate Commercial Law Department
This department encompasses Corporate Governance which is the process by which organizations are directed, controlled and held to account. Our Corporate and Commercial Law practice recognizes this need as well as the growth of conduct of business by way of incorporated entities, which entities must meet basic thresholds of legal status and compliance to validly enter into legal relations. In this regard, the department works closely with the business set up division in providing services ranging from incorporation of companies and trusts, registration of societies, registration of business names, registration of Non-Governmental Organizations, corporate restructuring of Companies, and advising on the regulatory regime thereof, registration and incorporation of Co-operative Societies as well as advising on the regulatory framework, incorporation of various forms of companies, including domestication of foreign companies and corporate re-structuring. The department ensures that the client‘s annual returns are filed on time, changes to the client‘s constitutional documents are registered within the prescribed time limits, documentation for effecting the Client‘s are drafted accordingly and filed at the appropriate registries. This department works closely again with the Banking and Finance practice group , also coordinates execution of financial service transactions involving (but not limited to) corporate finance transactions, asset securitization, insurance business and private equity transactions, and cross-border trade and investments and general securitization of promissory notes and bonds. Our vibrant commercial law practice handles simple to intricate commercial transactions and advisory services to clients including undertaking due diligence, transfer of business, corporate re-organization, advising on public listing, rights issues, asset sales and financing through single lender or syndicate loans.
Business Set Up and Advisory
Recognizing the role and potential for start-ups in rebooting the economy, the firm offers legal advisory services to start ups to enable them convert their ideas into businesses and to strategically position themselves in their operational areas to minimize legal exposure. We further leverage on our established networks with financial services providers to assist ventures in acquisition of seed capital and progressive capital requirements.
Intellectual Property Law

Our Intellectual Property Law department advises local and international clients on all aspects of intellectual property, including but not limited to, registrations, assignments and renewal of trademarks, industrial designs, patents, and utility models and registered user and licence agreements for local and overseas clients, registration of patents and industrial designs under the Kenyan Industrial Property Act, the Patents Cooperation Treaty and the ARIPO protocol, payment of annual maintenance fees on behalf of clients, advising on copyright, registration of plant breeders’ rights including filing applications for grant of such rights and liaising with the Kenya Plant Health Inspectorate Services (KEPHIS).
